General Terms and Conditions for Wilson & Wilson (UK)
1. Definitions
1.1. "Company" refers to Wilson & Wilson (UK) Ltd, a subsidiary of Cohose BV, registered in the The Netherlands.
1.2. "Customer" refers to any individual, company, or entity purchasing products or services from the Company.
1.3. "Goods" refers to couplings and hoses supplied by the Company.
2. Application
2.1. These terms and conditions shall apply to all contracts for the sale of Goods by the Company to the Customer and shall prevail over any other documentation or communication from the Customer.
2.2. Any variation to these terms and conditions must be agreed in writing by the Company.
3. Orders
3.1. All orders for Goods shall be deemed to be an offer by the Customer to purchase Goods pursuant to these terms and conditions.
3.2. Orders are subject to acceptance by the Company, and the Company may refuse to accept any order for any reason.
3.3. The Customer shall be responsible to the Company for ensuring the accuracy of the terms of any order.
4. Price and Payment
4.1. The price of the Goods shall be as set out in the Company's published price list.
4.2. Payment shall be made in full before dispatch of the Goods, unless otherwise agreed in writing by the Company.
4.3. All prices are exclusive of VAT and any other applicable taxes or duties.
5. Delivery
5.1. Delivery of the Goods shall be made by the Company to the address specified by the Customer.
5.2. The Company will use its reasonable endeavours to meet any date for delivery, but such dates are estimates only.
5.3. Risk in the Goods shall pass to the Customer upon delivery.
6. Title
6.1. Title in the Goods shall not pass to the Customer until the Company has been paid in full for the Goods.
7. Warranty
7.1. The Company warrants that the Goods will be free from defects in material and workmanship for a period of [insert warranty period].
8. Liability
8.1. The Company's liability in respect of any defect in the Goods or for any breach of these terms and conditions shall be limited to the replacement or repair of the Goods.
8.2. The Company shall not be liable for any consequential loss or damage arising out of the supply or use of the Goods.

9.1. These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.
10. Severability
10.1. If any provision of these terms and conditions is found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions of these terms and conditions.
